Work You’ll Do
Provide corporate and private equity buyers with a broad continuum of advisory services to support mergers, acquisitions, carve-outs, investment and financing structures, disposition alternatives, and post-transaction activities. Conduct post-merger integration work to identify sourcing synergies and operating model redundancies by engaging in synergy assessment, Day-1 readiness programs, and transitional service agreement standup. Develop financial models for revenue and cost forecasts by incorporating benchmarks and inputs to simulate the impact of changing variables. Provide industry insight and analytical support using data mining, pattern matching, data visualization, and predictive modeling tools to produce analysis and algorithms that enables pre-deal and post-deal integration, divestiture, and major restructuring/cost transformation activities to achieve/exceed deal value, synergy targets, or strategic cost takeout objectives. Recommend software and advanced analytics products created from ideas generated within the Deloitte organization to help proactively plan and implement post-merger integration activities as well as manage complex carve out projects. Assist companies through complex transitions that come with transactions and transformations that are part of that journey, including target identification and pre-deal due diligence, M&A roadmaps, strategies, and synergy targets, developing Day 1 projects and plans and post Day 1 planning and execution. Assist in the creation of business case decision models and customer financial models and execute process mapping to optimize operational productivity, forecasting, and budgeting processes.

Requirements
Bachelor’s degree or foreign equivalent in Business Administration, Law, any STEM field, or a related field. Must have 1 year of related work experience in the job offered or in a related occupation.
Position requires 1 year of related work experience in each of the following:
- Supporting mergers, acquisitions, carve-outs, investment and financing structures, disposition alternatives, and post-transaction activities by providing corporate and private equity buyers with a broad continuum of legal advisory services;
- Developing Excel-based financial models to capture historical and projected financial state of company and driving M&A deal models by conducting scenario analysis for revenue and cost drivers, assessment of deal structure, and impact of synergy assumptions;
- Assisting with conducting interviews of external and internal clients to identify data needs from seller’s company key operation processes, preparing and providing knowledge transfer documents and preparing teams for the production Day 1 migration and complying with antitrust laws;
- Designing risk mitigation strategies such as potential liability of stakeholders, creditor protection, conflict transactions, and director risk aversion to assist businesses in making better strategic decision from a legal standpoint;
- Assisting with tracking and reviewing contracts for third-party technology tools and IT infrastructure with the goal of causing minimal disruption to end-user activities during M&A transactions;
- Participating in client meetings with Functional teams to understand clients’ business requirements and providing support to help build project plans, to story board their end-goal requirement, and to assist tracking of activities and resolving complicated business issues utilizing MS office tools Excel and PowerPoint;
- Assisting through legal complex transitions that come with transactions and transformations that are part of the journey including analyzing and documenting current-state systems, processes, target identification, pre-deal due diligence, M&A roadmaps & strategies, developing Day 1 projects and plans, and identification of synergy targets;
- Guiding client and project team on how each process impacts tactical activities including Due Diligence, Sales & Purchase Agreement, Transition Services Agreement, and Clean Room.

Annual Salary: $93225 - $155375
